AGREEMENT TO TERMS

GT Combat LTD, operating as GT Combat (referred to as 'Company', 'we', 'us', or 'our'), is a company registered in the United Kingdom, with its office at 1a Morden Road, Newport, Wales NP19 7ET, VAT number 15711487. We manage the website https://gtcombat.co.uk (the 'Site') along with any related products and services that reference these terms (collectively, the 'Services').

Our Services provide booking options for airsoft events both online and in person. You may contact us via email at office@gtcombat.co.uk or by mail at 1a Morden Road, Newport, Wales NP19 7ET, United Kingdom.

These terms are a legally binding agreement between you and GT Combat LTD concerning your use of the Services. By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with all these terms, you must discontinue use immediately.

Additional terms or documents that may be posted on the Services from time to time are incorporated herein by reference. We reserve the right to modify these terms at our discretion. We will notify you of changes by updating the 'Last updated' date of these terms, and you waive any right to receive specific notice of each change. It is your responsibility to review these terms periodically for updates. Your continued use of the Services after any revised terms are posted will signify your acceptance of the changes.

The Services are intended for users aged 13 and older. If you are a minor in your jurisdiction (typically under 18), you must have permission from and be directly supervised by a parent or guardian to use the Services. If you are a minor, your parent or guardian must review and agree to these terms on your behalf.

We recommend printing a copy of these terms for your records.

**1. OUR SERVICES**

The Services are not intended for distribution or use by any individual or entity in any jurisdiction where such distribution or use would be unlawful or require registration. Those accessing the Services from other locations do so at their own risk and are responsible for compliance with local laws, as applicable.

**2. INTELLECTUAL PROPERTY RIGHTS**

**Our Intellectual Property**

We own or hold licenses to all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics ('Content'), as well as trademarks, service marks, and logos ('Marks'). These are protected by copyright, trademark laws, and other applicable laws globally.

Content and Marks are provided 'AS IS' for your personal, non-commercial use or internal business purposes only.

**Your Use of Our Services**

Subject to your compliance with these terms, including the 'PROHIBITED ACTIVITIES' section, we grant you a non-exclusive, non-transferable, revocable license to:

- Download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purposes.

We reserve all rights not expressly granted to you in the Services, Content, and Marks. Violation of these Intellectual Property Rights constitutes a material breach of these terms and will result in immediate termination of your right to use our Services.

**Your Submissions and Contributions**

Please review this section and the 'PROHIBITED ACTIVITIES' section to understand the rights you grant us and your obligations when posting or uploading content through the Services.

**Submissions:** By submitting any questions, comments, suggestions, ideas, feedback, or other information regarding the Services ('Submissions'), you assign all intellectual property rights to us. We shall own these Submissions and be entitled to their unrestricted use and dissemination for any lawful purpose, without acknowledgment or compensation.

**Contributions:** The Services may allow you to participate in chats, forums, or other interactive features, where you may create, submit, post, display, transmit, or distribute content and materials ('Contributions'). Publicly posted Submissions are also treated as Contributions.

Contributions may be viewable by other users and through third-party websites. By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, and otherwise exploit your Contributions, including your name, trademarks, and logos, for any purpose.

You are responsible for ensuring your Contributions do not violate any laws or third-party rights, and you agree to reimburse us for any losses resulting from your breaches. We may remove or edit Contributions at any time without notice if deemed harmful or in violation of these terms.

**Copyright Infringement**

We respect others' intellectual property rights. If you believe material on the Services infringes your copyright, refer to the 'COPYRIGHT INFRINGEMENTS' section below.

**3. USER REPRESENTATIONS**

By using the Services, you represent and warrant that: (1) all registration information you submit is accurate; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to agree to these terms; (4) you are at least 13 years old; (5) you are not a minor or have received parental permission; (6) you will not access the Services through automated or non-human means; (7) you will not use the Services for unlawful purposes; and (8) your use will not violate applicable laws or regulations.

If you provide false information, we may suspend or terminate your account and deny any future use of the Services.

**4. USER REGISTRATION**

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all activity under your account. We reserve the right to remove, reclaim, or change a username if it is deemed inappropriate.

**5. PURCHASES AND PAYMENT**

You agree to provide accurate purchase and account information for all transactions and to promptly update any changes. All payments are in GBP, and sales tax will be added as applicable. We reserve the right to correct pricing errors and to refuse or limit orders at our discretion.

**6. POLICY**

All sales are final; no refunds will be issued.

**7. PROHIBITED ACTIVITIES**

You agree not to use the Services for any purposes other than those provided. The Services may not be used in any unauthorized commercial endeavors. Prohibited activities include:

- Data scraping or systematic retrieval of content;
- Fraud, misrepresentation, or unauthorized access to others' accounts;
- Circumvention of security features;
- Disparagement or harm to us or the Services;
- Harassment or harm to others;
- Unauthorized use of the Services, including framing or linking;
- Uploading harmful materials, such as viruses or excessive spam;
- Automated use of the system without permission;
- Impersonation of others or misuse of usernames;
- Engaging in activities that disrupt the Services or its connected networks;
- Unauthorized distribution or adaptation of the Services’ software or content;
- Competing with us or using the Services for commercial gain without authorization.

Violating these prohibited activities may result in termination of your access to the Services.

 

**8. USER-GENERATED CONTENT**

Our Services may offer opportunities to engage in discussions, participate in blogs, forums, or other interactive features, allowing you to create, submit, post, display, transmit, perform, publish, distribute, or share content such as text, writings, video, audio, photos, graphics, comments, suggestions, or personal information (collectively, "Contributions"). These Contributions may be accessible to other users and via third-party websites, thus they may be treated as non-confidential and non-proprietary. By creating or submitting Contributions, you affirm and guarantee that:

- Your Contributions, including their creation, distribution, transmission, public display, or performance, do not and will not infringe any proprietary rights of third parties, including but not limited to copyright, patent, trademark, trade secret, or moral rights.
- You either own or have obtained the necessary licenses, rights, consents, and permissions to use and allow others to use your Contributions as intended by the Services and these Terms.
- You have received the necessary permissions from any identifiable individuals in your Contributions to use their name or likeness in the manner contemplated by the Services and these Terms.
- Your Contributions are truthful and not misleading.
- Your Contributions are not unsolicited or unauthorized advertising, promotional content, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
- Your Contributions are not obscene, vulgar, lewd, violent, harassing, defamatory, or otherwise objectionable as determined by us.
- Your Contributions do not insult, ridicule, disparage, intimidate, or harm anyone.
- Your Contributions are not used to harass or threaten anyone legally and do not promote violence against individuals or groups.
- Your Contributions do not violate any applicable laws, rules, or regulations.
- Your Contributions do not infringe on the privacy or publicity rights of others.
- Your Contributions do not contain material intended to exploit or harm minors or violate laws regarding child protection.
- Your Contributions do not contain offensive remarks related to race, national origin, gender, sexual orientation, or disability.
- Your Contributions do not otherwise violate these Terms or link to material that does.

Any misuse of the Services in violation of these Terms may result in suspension or termination of your rights to use the Services.

**9. CONTENT LICENSE**

By posting Contributions on any part of the Services or making them accessible by linking your account from the Services to any social networking accounts, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, display, reformat, translate, transmit, excerpt, and distribute such Contributions (including your image and voice) for any purpose, including commercial or advertising purposes, and to create derivative works or incorporate them into other works. This license includes the right to grant sublicenses and applies to all media formats and channels now known or developed in the future.

We retain the right to use your name, company name, franchise name, and any trademarks, service marks, trade names, logos, and images you provide. You waive any moral rights in your Contributions and warrant that no moral rights have been asserted in them.

We do not claim ownership of your Contributions; you retain all rights and ownership of your Contributions and any intellectual property rights. We are not responsible for any statements or representations in your Contributions. You are solely responsible for your Contributions and agree to indemnify us from any claims related to them.

We reserve the right to edit, categorize, or remove any Contributions at any time and for any reason without notice. We have no obligation to monitor your Contributions.

**10. REVIEW GUIDELINES**

We may provide areas on the Services for you to leave reviews or ratings. When posting a review, you agree to comply with the following criteria: (1) you must have direct experience with the person or entity being reviewed; (2) reviews should not contain offensive language, including profanity or hate speech; (3) reviews should not include discriminatory remarks based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; (4) reviews should not reference illegal activity; (5) you should not be affiliated with competitors if posting negative reviews; (6) avoid making legal conclusions; (7) do not post false or misleading statements; and (8) do not organize campaigns encouraging others to post reviews, whether positive or negative.

We may, at our discretion, accept, reject, or remove reviews without obligation to screen or delete them, even if they are deemed objectionable or inaccurate. Reviews do not represent our views or those of our affiliates, and we assume no liability for any review or claims arising from them. By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free license to reproduce, modify, translate, transmit, display, perform, and distribute the content of your review.

**11. SOCIAL MEDIA**

The Services may allow you to connect your account with accounts from third-party service providers ("Third-Party Accounts"). By linking your Third-Party Accounts, you grant us access to certain content stored in those accounts, which may be shared on the Services. You represent that you have the right to disclose your Third-Party Account login information and grant us access without breaching any terms with those providers and without obligating us to pay fees or face usage restrictions.

By granting us access to Third-Party Accounts, you acknowledge that (1) we may access and store content from those accounts on the Services, including friend lists; and (2) we may receive additional information as permitted by the linked accounts. If a Third-Party Account becomes unavailable, any associated content may no longer be accessible through the Services. You can disable this connection at any time through your account settings or by contacting us. Your relationship with Third-Party Account providers is governed solely by your agreements with them, and we are not responsible for their content or practices.

**12. THIRD-PARTY WEBSITES AND CONTENT**

The Services may contain links to external websites ("Third-Party Websites") and content from third parties ("Third-Party Content"). We do not monitor or review these Third-Party Websites or Content for accuracy, appropriateness, or completeness, and we are not responsible for them. Inclusion of links to Third-Party Websites or Content does not imply endorsement by us. Your interactions with Third-Party Websites and Content are at your own risk, and these Terms no longer apply once you leave our Services. Review the applicable terms and policies of any website or application you interact with through our Services. We are not liable for any transactions made on Third-Party Websites, which are solely between you and the third party. You agree not to hold us liable for any harm or losses resulting from Third-Party Content or websites.

**13. SERVICES MANAGEMENT**

We reserve the right to: (1) monitor the Services for violations of these Terms; (2) take legal action against anyone violating the law or these Terms; (3) refuse or restrict access to any Contributions at our discretion; (4) remove or disable content that is excessive or burdensome to our systems; and (5) manage the Services to protect our rights and property and to ensure proper functioning.

**14. PRIVACY POLICY**

We value your privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which outlines our data collection and use practices. Our Services are hosted in the United Kingdom, and by accessing the Services from outside the UK, you consent to your data being transferred and processed there in accordance with UK laws.

These Terms remain in effect as long as you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT, AT OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANYONE FOR ANY REASON OR NO REASON, INCLUDING BUT NOT LIMITED TO BREACHING ANY REPRESENTATION, WARRANTY, OR OBLIGATION IN THESE TERMS OR ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION YOU POST AT ANY TIME, WITHOUT WARNING, AT OUR SOLE DISCRETION.

If we suspend or terminate your account for any reason, you are prohibited from registering and creating a new account under your name, a false or borrowed name, or the name of any third party, even if you are acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including, but not limited to, seeking civil, criminal, and injunctive relief.

### 17. CHANGES AND SERVICE INTERRUPTIONS

We reserve the right to modify, alter, or remove content from the Services at any time or for any reason at our sole discretion without prior notice. However, we are under no obligation to update any information on our Services. We are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the Services.

We do not guarantee that the Services will always be available. There may be interruptions, delays, or errors due to hardware, software, or other issues, or due to necessary maintenance. We reserve the right to alter, update, suspend, discontinue, or otherwise change the Services at any time without prior notice. You agree that we are not liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuation. Nothing in these Terms obligates us to maintain or support the Services or provide any corrections, updates, or releases.

### 18. GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of the United Kingdom, excluding the United Nations Convention on Contracts for the International Sale of Goods. If you are an EU resident and a consumer, you are also protected by the mandatory provisions of the laws of your country of residence. Both GT Combat LTD and you agree to submit to the non-exclusive jurisdiction of the courts of Wales, allowing you to assert your consumer protection rights in the UK or in the EU country where you live.

### 19. DISPUTE RESOLUTION

**Informal Negotiations**

To expedite dispute resolution and minimize costs, you and we agree to first attempt to resolve any dispute, controversy, or claim related to these Terms (each a "Dispute") informally for at least 30 days before initiating arbitration. Informal negotiations begin upon written notice from one party to the other.

**Binding Arbitration**

Any dispute arising from the relationship between the parties under these Terms will be resolved by one arbitrator chosen per the rules of the European Court of Arbitration, part of the European Centre of Arbitration in Strasbourg, which are in effect at the time arbitration is requested. The arbitration will be held in Newport, United Kingdom, and conducted in English. The applicable substantive law will be that of the United Kingdom.

**Restrictions**

The parties agree that arbitration will be limited to the individual Dispute between the parties. To the fullest extent allowed by law: (a) no arbitration will be combined with any other proceeding; (b) Disputes cannot be arbitrated on a class-action basis or using class-action procedures; and (c) Disputes cannot be brought in a representative capacity on behalf of the general public or other individuals.

**Exceptions to Informal Negotiations and Arbitration**

The following Disputes are excluded from the above informal negotiations and arbitration provisions: (a) Disputes seeking to enforce or protect any party’s intellectual property rights; (b) Disputes related to allegations of theft, piracy, privacy invasion, or unauthorized use; and (c) claims for injunctive relief. If this provision is found illegal or unenforceable, then no party will elect to arbitrate any Dispute found to be illegal or unenforceable, and such Dispute will be resolved by a court of appropriate jurisdiction as listed above, with the parties agreeing to submit to that court's personal jurisdiction.

### 20. ERRORS AND CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other details. We reserve the right to correct any such errors, inaccuracies, or omissions and to change or update information on the Services at any time, without notice.

### 21. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND ASSUME NO LIABILITY FOR ANY (1) ERRORS OR INACCURACIES OF CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES; (3) UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN; (4) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (5) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED THROUGH THE SERVICES BY ANY THIRD PARTY; AND/OR (6) ERRORS OR OMISSIONS IN ANY CONTENT OR MATERIAL OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF USING ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY LINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

### 22. LIMITATION OF LIABILITY

WE AND OUR DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF ACTION, WILL BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR . SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

### 23. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) your use of the Services; (3) your breach of these Terms; (4) any breach of your representations and warranties in these Terms; (5) your violation of the rights of a third party, including intellectual property rights; or (6) any harmful act toward another user of the Services with whom you connected via the Services. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding subject to this indemnification upon becoming aware of it.

### 24. USER DATA

We will retain certain data that you transmit to the Services to manage its performance, as well as data relating to your use of the Services. While we perform routine data backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we are not liable for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption.

### 25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Accessing the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communications be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND

TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any laws, regulations, rules, ordinances, or other laws in any jurisdiction that require an original signature or delivery or retention of non-electronic records, or payments or the granting of credits by any means other than electronic means.

### 26. MISCELLANEOUS

These Terms and any policies or rules posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision of these Terms does not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We are not liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or use of the Services. You agree that these Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
